1. Scope, Acceptance and Relationship to Other Terms

These Marketplace Terms of Use (the "Marketplace Terms") govern access to and use of the Amplivanta Marketplace by buyers, sellers, and other marketplace users. They supplement the Amplivanta Terms of Service and any product-specific license or seller agreement that applies to a transaction. If there is a conflict, an executed order form or mandatory law controls first; then any product-specific license for license terms; then these Marketplace Terms for marketplace matters; and then the general Amplivanta Terms of Service. By browsing, listing, buying, downloading, or otherwise using the Marketplace, you agree to these Marketplace Terms. If you act for an organization, you represent that you have authority to bind that organization.

2. Marketplace Role

Amplivanta provides technology that may allow approved sellers to list digital marketing products and buyers to discover, purchase, and access those products. Unless a listing expressly states otherwise, the seller - not Amplivanta - is the creator or licensor of the product. Amplivanta may facilitate checkout, access controls, transaction records, moderation, support routing, and payout administration, but does not guarantee the commercial performance, fitness, legality, or results of a seller's product. NO PERFORMANCE GUARANTEE Marketplace products are tools and resources. Amplivanta does not guarantee revenue, conversions, rankings, reach, sales, or other business outcomes.

3. Accounts, Eligibility and Access

Marketplace use requires an eligible Amplivanta account. Certain functions may depend on account type, marketplace availability, seller approval, region, feature flags, or other production configuration. You must keep account credentials secure and provide accurate account information. You may not use another person's account without authorization or circumvent marketplace access controls.

4. Listings, Product Information and Pricing

Seller-provided listing information may include product descriptions, previews, file details, license information, compatibility information, prices, and other terms. Buyers should review the listing and applicable license before purchasing. Prices, discounts, taxes, fees, currencies, and payment options are shown through the production checkout flow when applicable. A displayed preview is illustrative and may not include every file or feature. Amplivanta may correct obvious listing or pricing errors before a transaction is completed.

5. Purchases, Delivery and Download Access

A purchase is complete only after the applicable payment flow confirms the transaction. Download or other access is provided only to the extent granted by the completed order and applicable license. Hosted download availability may depend on account status, product status, storage policy, security controls, legal requirements, or operational limitations. Buyers should keep permitted local copies of purchased files where appropriate.

6. Product Licenses and Use Outside Amplivanta

Purchasing a product generally grants a license, not ownership of the seller's copyright or other intellectual property. Where a product uses the Amplivanta Standard Commercial License, the buyer may use the product inside or outside Amplivanta, subject to that license. Product-specific terms control when the listing clearly identifies a different approved license.

7. Refunds, Disputes and Chargebacks

Refunds, disputes, billing corrections, and chargebacks are governed by the Marketplace Refunds, Disputes & Chargebacks Policy, the payment provider's rules, and applicable law. A refund may end the buyer's license and access rights for the refunded product, except where law requires otherwise.

8. Reviews, Favorites, Following and Community Features

Reviews, favorites, seller following, comments, or similar community features appear only if implemented and enabled. Users must submit truthful, non-manipulative content based on genuine experience. No buying, selling, or coercing reviews. No undisclosed conflicts of interest or coordinated rating manipulation. Amplivanta may remove or limit content that violates marketplace rules.

9. Prohibited Conduct

You may not misuse the Marketplace, interfere with its operation, or use it to violate law, third-party rights, or Amplivanta policies. No unauthorized redistribution of purchased source files. No fraudulent purchases, refund abuse, chargeback abuse, scraping intended to reconstruct marketplace catalogs, or circumvention of access controls. No malware, credential theft, impersonation, deceptive listings, or infringement.

10. Intellectual Property and Takedowns

Seller and buyer intellectual-property obligations are further described in the Marketplace Copyright, IP & Takedown Policy. Amplivanta may remove or restrict listings or access when it reasonably believes rights may be infringed or law requires action.

11. Enforcement, Suspension and Marketplace Changes

Amplivanta may reject listings, limit features, suspend marketplace access, hold transactions for review, or remove content when reasonably necessary for security, policy enforcement, legal compliance, fraud prevention, or protection of users. Marketplace features, categories, rules, and availability may change. Material legal changes will be handled in accordance with the general Terms of Service and applicable law.

12. Disclaimers, Liability and Governing Terms

To the extent permitted by law, marketplace-related warranties, disclaimers, limitations of liability, indemnification obligations, governing law, venue, and dispute-resolution rules are governed by the Amplivanta Terms of Service unless these Marketplace Terms expressly state otherwise.
