1. Agreement Structure and Seller Approval
This Seller Agreement governs participation as an approved seller in the Amplivanta Marketplace. It supplements the Amplivanta Terms of Service, Marketplace Terms of Use, Marketplace Product & Content Policy, and other policies referenced in this Agreement. Submitting an application does not guarantee approval. Seller tools become available only after the applicable approval, account, and feature conditions are satisfied.
2. Seller Account, Store and Authority
Seller represents that it has legal capacity and authority to enter into this Agreement and to offer each listed product. Seller must maintain accurate account, tax, payout, and store information when those fields are required by production configuration. Seller is responsible for people acting through its account. Seller may not transfer, sell, or rent seller access without Amplivanta's written approval.
3. Ownership, Licenses and Third-Party Rights
Seller retains ownership of its products except for the limited rights granted to Amplivanta to host, display, preview, market, distribute, deliver, secure, moderate, and administer marketplace transactions. Seller must own or have sufficient rights to every product component, including images, video, audio, fonts, templates, code, trademarks, datasets, model/property releases, and third-party materials. Seller may offer the Amplivanta Standard Commercial License or another license accepted by the Marketplace. Seller must not grant rights it does not possess.
4. Listing Accuracy and Product Quality
Seller must provide accurate titles, descriptions, previews, compatibility statements, file information, license terms, and other material listing details. Seller may not make deceptive or unsupported performance claims. Products must materially match their listings. Downloads should be usable in the formats represented by the listing. Material updates that change compatibility, license rights, or required software should be reflected in the listing.
5. Pricing, Taxes, Fees and Commissions
Seller controls product pricing to the extent allowed by production settings. Marketplace transaction fees, commissions, taxes, withholding, currency, and payout deductions are governed by the commercial settings displayed to the seller or otherwise agreed in writing. No fee percentage, payout minimum, or payout schedule is promised by this Agreement unless it is shown in the seller's production configuration or a separate written agreement.
6. Orders, Delivery and Buyer Access
Seller authorizes Amplivanta to deliver or enable access to purchased digital files consistent with the completed order and applicable license. Seller must not intentionally disable a valid buyer's licensed use outside the permitted enforcement, refund, security, or legal processes.
7. Refunds, Chargebacks and Adjustments
Seller agrees that eligible refunds, chargebacks, reversals, fraud adjustments, payment-provider fees, taxes, or corrections may reduce amounts otherwise payable to Seller as permitted by applicable law and the Marketplace Refunds, Disputes & Chargebacks Policy. Seller must reasonably cooperate in dispute review. Seller may be required to provide listing records, license terms, delivery information, or communications relevant to the dispute.
8. Payouts and Holds
Payouts are available only when a seller has an eligible balance and the applicable payout method, verification, threshold, schedule, compliance, and risk conditions are satisfied. Amplivanta may delay or hold a payout where reasonably necessary to address fraud, refunds, chargebacks, legal requirements, sanctions screening, payment-provider restrictions, account review, or material policy violations. CONFIGURATION-DRIVEN Payout methods, timing, thresholds, currencies and fees must be drawn from the production payout configuration. This draft intentionally does not hard-code those values.
9. Seller Marketing and Promotion
Seller may promote marketplace listings through permitted channels and may use Amplivanta marketing tools when available. Promotions must be truthful, comply with platform rules and advertising law, and clearly disclose material conditions. No false scarcity, fake reviews, misleading discounts, or guaranteed-outcome claims. Sponsored or affiliate promotion must use required disclosures.
10. AI-Generated and AI-Assisted Content
Seller must disclose AI-generated or materially AI-assisted content when required by the Marketplace Product & Content Policy or listing workflow. AI use does not reduce Seller's responsibility for originality, rights clearance, accuracy, safety, or legal compliance.
11. Moderation, Security and Product Removal
Amplivanta may scan, review, reject, quarantine, unpublish, or remove products for security, quality, policy, legal, or rights-management reasons. Seller must not upload malware, harmful code, stolen credentials, hidden trackers, or files intended to compromise users or systems.
12. Privacy and Buyer Information
Seller may receive only the buyer or transaction information necessary for a marketplace function. Seller may use that information solely for the applicable transaction, support, tax, legal, or other permitted purpose and must not use marketplace data for unauthorized marketing or resale.
13. Suspension and Termination
Seller or Amplivanta may end Seller's marketplace participation subject to completed transactions, refunds, chargebacks, payout reconciliation, legal retention, surviving licenses, and obligations that by their nature survive termination. Amplivanta may suspend or terminate Seller access for serious or repeated policy violations, fraud, infringement, security risk, or legal requirements.
14. Indemnity, Liability and General Terms
Seller's indemnification, disclaimers, limitations of liability, governing law, dispute-resolution terms, notices, and general contractual provisions are governed by the Amplivanta Terms of Service except where this Agreement expressly provides a marketplace-specific rule. CONTACT Questions about this document may be sent to legal@amplivanta.com. Marketplace support requests should use the support channel made available in the Amplivanta product or Help Center.
