1. When This License Applies

This Amplivanta Standard Commercial License applies only when a marketplace listing identifies it as the governing product license. If a listing identifies another approved license, that product-specific license controls.

2. License Grant

Subject to payment of the applicable purchase price and continued compliance with this License, the seller grants the buyer a non-exclusive, worldwide, non-transferable license to download, use, reproduce, modify, and incorporate the purchased product into permitted projects. The buyer may use the product inside Amplivanta or outside Amplivanta. Amplivanta is not required to be the software used to edit, publish, distribute, or deploy the buyer's permitted project. CORE BUYER RIGHT Use anywhere: a lawful purchase under this License is not restricted to Amplivanta. The buyer may download and use the product in other tools and channels, subject to the restrictions below.

3. Permitted Business and Commercial Uses

The buyer may use the product for its own business and for authorized client work, including websites, advertising, email, social media, presentations, campaigns, reports, print materials, videos, and other commercial marketing outputs. The buyer may modify the product to create customized outputs. The buyer may provide finished outputs to clients and customers. Employees and contractors may access the files only as needed to perform work for the licensed buyer or authorized client project.

4. No Transfer of Ownership

The purchase does not transfer copyright, trademark ownership, source ownership, or other intellectual-property ownership in the underlying product. Seller retains all rights not expressly granted.

5. Prohibited Redistribution and Resale

The buyer may not resell, redistribute, share, sublicense, publish, upload, or make the original or substantially equivalent source files available as a standalone product, template, stock asset, download, library, or competing marketplace offering. Do not give source files to unrelated third parties for their independent reuse. Do not package the purchased files into another downloadable collection where the source files can be extracted and reused independently.

6. Derivative Works

The buyer may create derivative marketing outputs and modified project files, but modifications do not create ownership rights in unmodified seller content. A derivative product may not be distributed in a manner that effectively substitutes for purchasing the original product.

7. Logos, Trademarks and Identity Uses

A product may not be used as a trademark, service mark, trade dress, or exclusive brand identifier unless the listing expressly grants that right. Non-exclusive marketplace assets generally cannot support an exclusive ownership claim.

8. Images, Video, Audio, People and Property

Where a product depicts identifiable people, private property, trademarks, music, or other protected subject matter, the buyer must comply with any restrictions disclosed in the listing. Seller is responsible for required release disclosures; Buyer remains responsible for the context in which the asset is used.

9. AI Training, Datasets and Automated Extraction

Unless the listing expressly permits it, this License does not authorize use of the purchased source files to build or distribute a dataset, train or fine-tune a machine-learning model, create a competing asset library, or conduct automated extraction intended to reproduce the seller's catalog.

10. Access, Backups and Account Closure

The buyer may keep lawful local copies of purchased files. Amplivanta does not promise perpetual hosted download availability. The license to properly purchased files may survive account closure, subject to refunds, chargebacks, termination for infringement, applicable law, and the terms of this License.

11. Refunds and License Termination

If a purchase is refunded, reversed, or successfully charged back, the license for that purchase ends unless applicable law requires otherwise. The buyer must stop new use of the refunded source files and delete copies reasonably within its control.

12. Prohibited Uses

The product may not be used to violate law, infringe rights, defame others, mislead consumers, distribute malware, facilitate fraud, or create unlawful discriminatory or harmful content.

13. Product-Specific Terms

A listing may include additional product-specific restrictions or permissions if clearly disclosed before purchase and accepted by the Marketplace. Those terms supplement this License and control for that product where they are more specific.

14. No Outcome Warranty

Digital products are licensed as creative or operational resources. Neither Seller nor Amplivanta guarantees business results, marketing performance, compatibility with every third-party tool, or uninterrupted hosted access except as expressly stated in the listing or required by law.
