1. Purpose and Rights-Respect Standard
Amplivanta respects intellectual-property rights and expects sellers and buyers to do the same. This Policy explains rights-clearance expectations, infringement reporting, takedown review, restoration or counter-processes where applicable, and repeat-infringer measures.
2. Seller Rights Warranty
By submitting a product, Seller represents that it owns or has sufficient rights to list, license, distribute, preview, and deliver every included component and that the listing does not knowingly infringe copyright, trademark, publicity, privacy, patent, contract, or other rights. Rights obligations apply to images, video, audio, fonts, software, templates, code, datasets, icons, logos, music, stock content, and third-party materials. AI-generated content does not remove the Seller's responsibility to avoid infringement.
3. Model, Property and Other Releases
Where a product's lawful commercial use requires a model release, property release, talent consent, music license, location permission, or similar authorization, Seller must possess the required rights and accurately disclose material use restrictions.
4. Reporting Copyright or Other IP Concerns
A rights holder or authorized representative may send an infringement report to legal@amplivanta.com or another rights-reporting channel published by Amplivanta. The report should identify the claimant, the protected work or right, the marketplace material at issue, the location or listing, the basis of the claim, contact information, and a statement of good-faith belief.
5. Takedown and Restriction Review
Amplivanta may temporarily disable a listing, restrict download access for new transactions, preserve relevant records, request information from the seller, or take other proportionate steps while reviewing a credible rights complaint. Removal of a listing does not necessarily revoke rights already lawfully granted to buyers unless the rights issue, law, court order, settlement, or applicable license requires otherwise.
6. Seller Response and Restoration
Where appropriate and lawful, Amplivanta may notify Seller and allow a response showing ownership, license, authorization, non-infringement, fair-use or other lawful basis. Content may be restored if the complaint is withdrawn, resolved, unsupported, or otherwise no longer justifies restriction.
7. U.S. Copyright Procedures and DMCA
Amplivanta may implement formal notice-and-counter-notice procedures under the U.S. Digital Millennium Copyright Act where applicable. Any published DMCA agent information and statutory procedure must be completed and maintained separately before relying on DMCA safe-harbor procedures. IMPLEMENTATION NOTE Before launch, counsel should confirm whether Actjoval LLC will register a DMCA agent and, if so, publish the registered agent details and exact statutory notice/counter-notice workflow.
8. Trademark and Brand Complaints
Trademark complaints should identify the mark, registration or other rights basis where applicable, the disputed listing, the relevant goods or services, and why the use is likely unlawful. Amplivanta may request additional evidence before acting.
9. Repeat Infringers and Serious Violations
Amplivanta may suspend or terminate sellers or users who repeatedly or seriously infringe rights, submit pirated materials, ignore valid rights complaints, or misuse the marketplace for counterfeit or unauthorized distribution.
10. Abusive or False Notices
A complainant must not knowingly submit materially false infringement claims. Amplivanta may reject incomplete or abusive notices, restrict users who misuse reporting tools, and preserve records of repeated abuse.
11. No Legal Determination
Marketplace moderation is not a court judgment and does not determine ultimate ownership or infringement. Parties remain responsible for resolving legal disputes and complying with binding orders or settlements.
12. Contact and Recordkeeping
